Submissions Release and Waiver

By submitting any materials, including scripts, treatments, pitches, decks, reels, sizzle videos, headshots, resumes, demos, and other creative content (the “Materials”), to Cloud 9 Studios through cloud9studios.com or any other channel, you agree to the following:

1. Eligibility

You are at least 18 years old and legally able to enter into this agreement. If you are submitting Materials on behalf of a company or other entity, you confirm that you have authority to bind that entity to this Release.

2. Ownership of Materials

The Materials are your original work, or you have the right and authority to share them with Cloud 9 Studios. You have not granted any third party rights that conflict with this submission. You agree to indemnify and hold Cloud 9 Studios harmless against any claim that your Materials infringe a third party’s rights.

3. No Confidentiality Obligation

Cloud 9 Studios receives a high volume of submissions and is not obligated to treat the Materials as confidential. Do not submit anything you consider confidential, trade secret, or proprietary. Any information you share with Cloud 9 Studios as part of the Materials is shared on a non-confidential basis.

4. Independent Development

Cloud 9 Studios may already have, may be developing, or may in the future develop projects that are similar to your submission, whether produced internally or acquired from others. You acknowledge this and release Cloud 9 Studios from any claim that a Cloud 9 Studios project was based on, derived from, copied from, or inspired by the Materials.

5. No Obligation to Review, Respond, Return, or Compensate

Cloud 9 Studios has no obligation to review, respond to, return, store, compensate, or credit you for the Materials. If Cloud 9 Studios is interested in pursuing your project, we will contact you directly to discuss specific terms in a separate written agreement.

6. Release of Claims

You release Cloud 9 Studios and its parents, subsidiaries, affiliates, officers, directors, employees, agents, contractors, financiers, and production and distribution partners from any claim arising out of the Materials or Cloud 9 Studios’s receipt, review, use, or non-use of them, including claims for breach of confidence, breach of implied or express contract, idea misappropriation, unfair competition, copyright infringement, and any similar legal theory, except claims arising from Cloud 9 Studios’s intentional misconduct or fraud.

7. Limited License to Review

You grant Cloud 9 Studios a non-exclusive, royalty-free, worldwide license to receive, store, view, evaluate, and discuss the Materials internally and with its agents and advisors for the purpose of considering them. No other rights are granted. Any further use of the Materials requires a separate written agreement signed by both parties.

8. No Employment or Partnership

Nothing in this Release creates an employment, agency, partnership, or joint venture relationship between you and Cloud 9 Studios.

9. Governing Law and Venue

This Release is governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of this Release or the Materials will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

10. Severability

If any part of this Release is held to be unenforceable, the remaining provisions will continue in full force and effect.

11. Entire Agreement

This Release is the complete agreement between you and Cloud 9 Studios regarding the Materials and supersedes any prior understanding on the same subject, unless and until you and Cloud 9 Studios sign a separate written agreement covering the Materials.

12. Acceptance

Submitting Materials to Cloud 9 Studios constitutes your agreement to this Release. If you do not agree, do not submit Materials.
